These Terms of Service ("Terms") govern your use of the Prisma Fragrances website at prismafragrances.com (the "Site") and your purchase of any products from us. The Site and all products are offered by Regular Candle Company, a corporation doing business as Prisma Fragrances ("Prisma," "we," "us," or "our").

By visiting the Site, creating an account, or placing an order, you agree to these Terms, along with our Privacy Policy, Shipping Policy, and Refund Policy, which are part of these Terms by reference. If you do not agree, please do not use the Site or purchase our products.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, to place an order. By ordering, you confirm that you meet this requirement and that the information you give us is accurate and complete.

2. Our Products and Their Intended Use

Prisma sells concentrated fragrance oils intended for use by makers in finished products such as candles, soap, reed diffusers, room sprays, and similar goods.

Our fragrance oils are not for ingestion, and they are not intended to be applied directly to skin or used undiluted. Keep them away from children and pets, avoid contact with eyes, and follow all warnings on the label and in the Safety Data Sheet (SDS).

You are responsible for testing. Fragrance oils perform differently depending on your wax, base, vessel, wick, soap formula, cure time, usage rate, and process. Before producing anything at scale or selling it, you are responsible for testing each fragrance in your own formula for safety, throw, discoloration, acceleration, seizing, separation, and any other performance concern. We do not guarantee how a fragrance will perform in any particular application.

Scent descriptions are approximate. Fragrance notes, color names, imagery, and descriptions on the Site are meant to give you a general sense of a scent. They are not a promise of exactly how a fragrance will smell to you or in your finished product. Colors assigned to our fragrances are part of our naming system and do not describe the color of the oil or of your finished product.

3. Safety and Compliance Documents

We make IFRA certificates and Safety Data Sheets available for our fragrances. These documents are based on information from our manufacturing partners and are provided for your reference.

Usage rates printed on our labels reflect IFRA guidance for the listed categories and may be rounded down. The IFRA certificate is the controlling reference for maximum usage levels.

You are solely responsible for making sure your finished products, labels, and business practices comply with the laws and regulations that apply to you, including, where applicable, consumer product safety rules, cosmetic regulations, hazard and allergen labeling requirements, and the rules of any country where you sell. Our documents do not replace your own compliance review, and nothing we provide is legal or regulatory advice.

4. Orders, Pricing, and Payment

All orders are subject to acceptance. We may refuse or cancel any order, or limit quantities, for reasons including product availability, errors in pricing or product information, suspected fraud, or shipping restrictions. If we cancel an order after you have been charged, we will refund the charge in full.

Prices are listed in U.S. dollars and may change at any time without notice. The price that applies to your order is the price shown at checkout. We try to keep product information accurate, but if we discover a pricing or description error, we will contact you before shipping and give you the option to proceed at the correct price or cancel.

Payment is due in full at the time of purchase. By submitting payment, you confirm that you are authorized to use the payment method provided.

Promotional and discount codes are subject to the terms stated with each offer, cannot be combined unless stated, have no cash value, and may be ended or changed at any time.

5. Pre-Orders

Some products may be offered as pre-orders before they are in stock. For pre-order items:

Your payment method will be charged when you place the order. Each pre-order listing will show an estimated ship date. That date is our good-faith estimate and is not guaranteed. If your order includes both pre-order and in-stock items, the entire order may ship together once the pre-order items are available, unless we state otherwise at checkout.

If we cannot ship by the estimated date, we will notify you with a revised date and give you the option to cancel for a full refund. You may also cancel a pre-order for a full refund at any time before it ships by contacting us.

6. Sales Tax and Tax-Exempt Purchases

We collect sales tax where we are required to by law. If you are purchasing for resale and qualify for a sales tax exemption, you may apply through our tax exemption page by submitting a valid resale or exemption certificate.

You are responsible for the accuracy and validity of any certificate you submit and for notifying us if your exemption status changes. Approved exemptions apply to orders placed after approval. We do not refund tax charged on orders placed before your exemption was approved. If a certificate is found to be invalid, you are responsible for any tax, penalties, and interest that result.

7. Shipping and International Orders

Shipping times, rates, free shipping thresholds, and carrier details are described in our Shipping Policy. Risk of loss passes to you when your order is handed to the carrier.

Fragrance oils may be regulated for shipping, and some carriers or destinations may restrict or prohibit them. We may decline to ship certain products to certain locations.

For international orders, you are the importer of record. You are responsible for all customs duties, import taxes, brokerage fees, and any charges assessed by your country, and for making sure our products can be legally imported and used where you live. Orders refused, abandoned, or returned because of unpaid duties or import restrictions are not eligible for a refund of shipping costs, and any refund of product cost may be reduced by return shipping and handling costs.

8. Returns, Damaged Items, and Refunds

Returns, exchanges, and claims for damaged, leaking, or incorrect items are handled under our Refund Policy. We do not accept returns of products that arrive in good condition simply because you changed your mind or no longer want them. Because fragrance oils are consumable and cannot be resold once opened, opened products are not eligible for return.

9. How You May Use Our Products and Brand

You are welcome to use our fragrance oils in products you make and sell under your own brand. You may tell your customers that your products are scented with Prisma fragrances.

You may not, without our written permission: repackage, rebottle, relabel, or resell our fragrance oils as fragrance oils; represent that your products are made, endorsed, or certified by Prisma; or use our logo, product imagery, website content, or the Prisma name in a way that suggests an official relationship.

10. Intellectual Property

All content on the Site, including our name, logo, fragrance names, PF numbers, color naming system, product photography, illustrations, text, and design, is owned by or licensed to Prisma and protected by intellectual property laws. You may not copy, reproduce, scrape, or distribute Site content except as allowed by these Terms or with our written permission.

Any third-party brand names or trademarks that appear on the Site or in documents belong to their respective owners. Prisma is not affiliated with, sponsored by, or endorsed by those owners.

11. Accounts

If you create an account, you are responsible for keeping your login information secure and for all activity under your account. Let us know right away if you believe your account has been accessed without permission. We may suspend or close accounts that violate these Terms.

12. Acceptable Use of the Site

You agree not to use the Site to break any law; interfere with the Site's operation or security; use bots, scrapers, or automated tools to access or collect content; submit false, fraudulent, or misleading information; or harass, abuse, or harm others.

13. Reviews and Submissions

If you submit reviews, photos, or other content, you confirm that you have the right to share it and that it is accurate and not misleading. You grant Prisma a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with our business. We may remove any submission at our discretion.

14. Disclaimer of Warranties

Except as expressly stated in these Terms, the Site and all products are provided "as is" and "as available." To the fullest extent allowed by law, Prisma disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any product will be suitable for your formula, process, or intended use, or that the Site will be uninterrupted or error-free.

Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.

15. Limitation of Liability

To the fullest extent allowed by law, Prisma and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost inventory, or business interruption, arising from your use of the Site or our products, even if we were told such damages were possible.

Our total liability for any claim relating to a product or order will not exceed the amount you paid for that product or order.

Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Prisma and its owners, employees, and suppliers from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising from: products you make, label, or sell using our fragrance oils; your failure to test products or follow usage guidance and warnings; your failure to comply with applicable laws; or your violation of these Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules.

If you have a concern, please contact us first so we can try to resolve it informally. If we cannot resolve a dispute within 30 days, it will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you and Prisma consent to the jurisdiction of those courts. Either party may bring an eligible claim in small claims court.

18. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted on the Site, and the "Last updated" date above will be revised. The Terms in effect when you place an order apply to that order.

19. General

If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with the policies referenced above, are the entire agreement between you and Prisma regarding the Site and your purchases. You may not transfer your rights under these Terms without our consent.
